5.1 貨物質量符合本合同及貨物制造商技術標準。

5.2 如果在貨物質量、數量方面出現差異，買方應于貨到目的地之日起30日內以進口國有關政府機構出具的有效證書向賣方提出。買方未在規定時間內提出異議，則視為賣方貨物符合合同約定。買方對運輸中貨物或包裝的損壞、遺失所提任何異議應由保險公司、運輸機構或郵遞機構負責，賣方不負任何責任。
盡管有上述規定，但雙方在本合同中另有約定的除外。
If there is something wrong with the qulity and quantity of the goods, the purchaser should put it forward on conditions of supplying the attestation of the authority"s of his country within 30 days.If the purchaser hasn"t put forward any dissidence about the goods, then it should be considered the seller"s goods meet the stipulation. And if the purchaser put forward any objection to the broken of the goods or the package as well as the lost of them during the shipment, and it shouod be in the charge of the insurance company, the shipping agent or the postal agencies, and the seller would not charge for it. Although it is stipulated as above, it is except that the two parties have stipulated otherwise.

6.1.1 賣方承諾其貨物無設計及材料上的缺陷，是新生產的而且沒有被使用過。

6.1.2 如果由買方操作或者維修不當而引起的問題，賣方不負責任。
If problems caused by the wrong operation or the incorrect maintain of the purchaser, the seller would not be responsible for it.
6.2 不可抗力：
Force Majeure
若發生不可抗力事件（如：戰爭、內亂、封鎖、地震、火災、水災等。）以及任何雙方未能預見并且對某發生后果不能防止或避免的意外事故妨礙或干擾了本合同的履行時，發生不可抗力方須在事件發生結束之起 30日內將本有關機構出據的不可抗力事件的證明寄交對方，據此證明豁免責任，并由雙方協商中止或繼續履行合同事宜
If God taking place after making the contract due to the war, civil disturbance,blockage, earthquake, fire or flood etc, and any events that the parties can"t forsee nor prevent by reasonable messures that disturb execution of the present contract, and the party which encountered such events should mail the attestation of the authority to the other party, thereunder to release the duty, and then deciding whether to carry out or stop the contract further.
6.3 遲延交貨:
Terms about delaying the delivery
除了本合同第7.2條不可抗力原因外，如賣方不能按照合同規定的時間交貨而引起買方的損失，買方會考慮接受賣方在支付罰款的條件下延期交貨，罰款率按每天0.02%計算，不足1天時以1天計算，但罰款不得超過遲交貨物總價的2%。但因船期或者買方遲付款原因導致交貨延期，賣方不負任何責任。
Except the force majeure stipulated in 7.2 of this contract, if the seller can"t deliver the commodities on time which caused the loss of the purchaser, the purchaser would consider to accept the delaying delivery on conditions of the seller pay for the fine, and the fined rate based on 0.02% of the total commodities amount per day, and people considered it as one day if it falls short of a day. But the fine should not be beyond 2% of the total amount of the delayed commodities.If the delayed delivery due to the delaying of the shipping date or the purchaser" s not paying off, the seller would not be responsible for it.
7. 仲裁:
Arbitrition
本合同執行過程中雙方產生分歧時，應該本著友好協商的方式解決。如果協商不能取得滿意的結果時，則應提交在中國北京的中國國際經濟貿易仲裁委員會仲裁，并依據申請仲裁時現行的仲裁規則進行。該仲裁為終局裁決，對雙方均有約束力。
If disagreement occurs during the execution of the contract, the parties should negotiate about it. If the parties can"t get satisfied result, they should put it forward to the China National Economic and Trade Arbitration Commision to arbitrate, and carry out it accoding the present arbitrated regulations. The arbitration is the final award, and has constraints to the both parties.
8.其他條款:

8.1 合同自雙方代表簽字后生效。
The present contract comes into effect since the moment of its signing provided by the stamp and signatures of both parties.
8.2 任何對此合同的修改補充，只有以書面形式經雙方代表人簽字后方生效。
Any amendment, supplement or subtraction to this contract shall be in written and be valid upon the signature of the representatives duly authorized by the Parties.
8.3 任何一方在未經對方同意下均無權將本合同項下權利及義務轉讓。

第六條 違約責任

第七條 不可抗力
甲、乙任何一方由于不可抗力不能履行合同時，應在不可抗力解除后3日內向對方通報不能履行的理由，在提供政府主管部門出具的不可抗力證明后，根據情況可延期、部分或全部不履行合同，同時部分或全部免于承擔違約責任;但如果甲方未能因不可抗力免除對外商的責任時，乙方應賠償甲方因此而受到的損失。
