                  第四條 勞動報酬及支付方式與時間

                  四、乙方在享受法定休假日以及依法參加社會活動期間,甲方應當依法支付工資。

                  1. 甲方可根據實際經營狀況、內部規章制度,對乙方的考核結果以及乙方的工作年限、獎罰記錄、崗位變化等,調整乙方的工資水平,但不可低于國家規定的最低工資標準;

                  2. 因公司業務及行業需要可能超時工作并且周六、周日需正常工作,員工每月工資總額中已包含了超時工作及周六、周日的加班工資,法定節假日加班工資的計算以基本工資為計算依據。

                  Work overtime as need. Monthly employee payroll contain overtime wages, including Saturday and Sunday. Public holiday overtime pay is calculated on the basis of basic wage.

                  第五條 社會保險及福利待遇

                  Article 5 Social Insurance and Welfare

                  一. 甲乙雙方必須依法按國家及省、市有關規定參加社會保險,按月繳納社會保險費。乙方繳納部分,由甲方在乙方工資中代為扣繳。

                  Party a and Party B must participate in social insurance and pay social insurance premiums on a monthly basis in accordance with the national and provincial law. The amount payable by Party B shall be withheld by Party B from the Party A’s monthly wages.

                  二. 乙方患病或非因工負傷,甲方應按國家和省、市的有關規定給予乙方享受醫療期和醫療期待遇。

                  Where Party B has contracted an illness or sustained a non-work-related injury, Party A should give Party B medical treatment and medical leave accordance with National or provincial regulation.

                  三. 乙方患職業病、因工負傷的,甲方按《職業病防治法》、《工傷保險條例》等有關法律法規的規定執行。

                  Where Party B has contracted an occupational diseases or industrial injury, party A have to implement related provisions according to the "occupation disease prevention law", industrial injury insurance regulations" and other relevant laws and regulations.

                  四. 乙方依法享有法定節假日、年休假、婚假、產假、喪假等假期。

                  第六條 勞動保護、勞動條件和職業危害防護

                  Article 6 Labor Protection, Working Conditions and Protections against Occupational Hazards

                  一. 甲乙雙方都必須嚴格執行國家有關安全生產、勞動保護、職業衛生等規定。有職業危害的工種應在合同約定中告知,甲方應為乙方的生產工作提供符合規定的勞動保護設施、勞動防護用品及其他勞動保護條件。乙方應嚴格遵守各項安全操作規程。甲方必須自覺執行國家有關女職工勞動保護和未成年工特殊保護規定。

                  The Parties must strictly implement relevant national occupational safety, labor protection and occupational sanitation procedures and standards. Any job exposed to occupational hazards shall be specified in the contract, and Party A shall provide Party B with work safety and hygiene facilities, labor protection equipment and other necessary conditions for Party B’s work activities. Party B must strictly comply with the work disciplines, operating procedures and safety rules set by Party A. Party A must conscientiously carry out relevant provisions formulated by the state for the protection of female and under-aged employees.

                  第七條 規章制度

                  Article 7 Regulation and Rules

                  一. 甲方依法制定的規章制度,應當告知乙方。

                  二. 乙方應遵守國家和省、市有關法律法規和甲方依法制定的規章制度,按時完成工作任務,提高職業技能,遵守安全操作規程和職業道德。

                  三. 乙方自覺遵守國家和省、市計劃生育的有關規定。

                  Party B shall comply with the Family Planning regulation accordance to the Law.

                  第八條 保密條款

                  Article 8 Confidential Agreement

                  簽訂本合同之前甲乙雙方已簽署《保密協議》,乙方承諾同意并嚴格遵守保密協議中約定的義務。

                  This contract will be signed after the 《Confidential Agreement》by both Parties, Party B promises to agree and strictly abide by the obligations agreed in Confidential Agreement.

                  第九條 合同的履行和變更

                  Article 9 Performance & Alternation of Contract

                  一. 甲方應按照約定為乙方提供適當的工作場所、勞動條件和工作崗位,并按時向乙方支付勞動報酬。乙方應當認真履行自己的勞動職責,并親自完成本合同約定的工作任務。

                  Party A shall furnish Party B with proper working place, labor conditions and position, and shall also pay the remuneration to Party B on time, conforming to the provisions herein. Party B shall fulfill his responsibilities herein in due diligence.

                  二. 甲乙雙方經協商一致,可以變更合同。變更合同應采用書面形式。變更后的合同文本雙方各執一份。

                  Both of Party A and Party B reach a consensus on alteration of contract, which shall be in written form. Both parties shall keep a copy of revised contract.

                  第十條 合同解除和終止

                  Article 10 Dissolution and Termination of Contract

                  一. 甲乙雙方協商一致,可以解除合同。

                  Where Party A and Party B reach a consensus, the contract can be terminated.

                  二. 乙方提前三十日以書面形式通知甲方,可以解除勞動合同;乙方試用期內提前三日通知甲方,可以解除勞動合同。

                  To terminate the contract, Party B shall inform Party A in written notice in a thirty days advance. Party B in three days advance notice to Party A in probation period.

                  三、乙方在工作期間需嚴格遵守中華人民共和國的法律法規、行政規章,因乙方違法律法規、行政規章而受到法律的制裁及行政處罰,甲方有權解除本合同而無需支付任何補償及賠償。

                  During work period, Party B is required to strictly comply with the Law and regulations, administrative rules of P.R.C. In case Party B get legal penalties and administrative penalties due to violation of laws and regulations. Party A is entitled to rescind the contract without any compensation.

                  四、合同解除和終止的其他條件和補償按《勞動合同法》的有關規定執行。

                  第十一條 合同解除和終止手續

                  Article 11 Contract Rescission and Termination Procedures

                  一. 甲乙雙方解除和終止本合同的,乙方應按雙方約定,辦理工作交接等手續。甲方應依法向乙方出具書面證明,并在十五日內為乙方辦理檔案和社會保險關系轉移手續。

                  When terminate contract by both parties, Party B shall handover all the work to Party A according to the agreement. Party A shall issue a certification documents to Party B, and transfer files and social insurance relationship within fifteen days.

                  第十二條 爭議處理

                  Article 12 Dispute Settlement

                  Any dispute shall be solved by negotiation.

                  二. 甲乙雙方協商不成,可由爭議的一方申請勞動仲裁。

                  一. 甲方可根據工作需要及乙方的身體狀況、工作能力和表現根據甲方的規章制度升、降乙方的職務,乙方愿意服從甲方的安排;入職前,甲方已安排專職翻譯向乙方詳細翻譯并解釋了甲方的《員工手冊》、《薪酬管理制度》等規章制度,乙方已熟知、理解、并同意自覺遵守甲方的相關規章制度。

                  Where Party A is able to promote or demote Party B base on the needs of work, physical condition, ability and performance, which is according to the Company regulations. Party B is willing to accept Part A’s arrangement. Pre-commencement, Party A have arranged full-time translator to translate and explain the details of regulations and rules of 《Employee Handbook》and《Remuneration Rule》.Party B should familiar with, understand, and agree to abide to Party A’s relevant regulation and rules.

                  第十四條 其他

                  Article 14 Miscellaneous

                  一. 本合同在履行中發生爭議,任何一方均可向企業勞動爭議調解委員會申請調解,也可向勞動爭議仲裁委員會申請仲裁。對仲裁裁決不服的,可以向人民法院起訴。

                  If any dispute arises under this Contract, either Party may file an application for mediation with the enterprise labor dispute mediation committee, or file an application for arbitration with the labor dispute arbitration committee. If either party disagrees with the arbitration ruling, the party may file a proceeding in a People’s Court with competent jurisdiction.

                  二. 本合同未盡事項,按國家有關法律法規執行。

                  Matters that are not provided in this Contract will be dealt with in accordance with existing laws, rules and regulations.

                  三. 本合同條款如與今后國家頒布的法律法規相抵觸時,按國家新的法律法規執行。

                  Should any provision of this Contract be in violation of the PRC laws or regulations, the new laws and regulations shall govern.

                  三、甲方的工資發放日為每月 日。甲方應當以貨幣形式按月支付工資,不得拖欠。

                  3. Party A will pay wages to Party B on the ___th day of each month. Party A shall wages in monetary form on a monthly basis, without delay.

                  四、乙方在享受法定休假日以及依法參加社會活動期間,甲方應當依法支付工資。

                  4. During any period when Party B participates in any social activities which citizens are requested to perform for national or public interests, during statutory working hours, Party A shall pay wages to Party B according to the law.

                  第五條 社會保險

                  Article 5 Social Insurance

                  甲、乙雙方必須依法參加社會保險,按月繳納社會保險費。乙方繳納部分,由甲方在乙方工資中代為扣繳。

                  Party a and Party B must participate in social insurance and pay social insurance premiums on a monthly basis in accordance with the law. The amount payable by Party B shall be withheld by Party B from the Party A’s monthly wages.

                  第六條 勞動保護、勞動條件和職業危害防護

                  Article 6 Labor Protection, Working Conditions and Protections Against Occupational Hazards

                  甲乙雙方都必須嚴格執行國家有關安全生產、勞動保護、職業衛生等規定。有職業危害的工種應在合同約定中告知,甲方應為乙方的生產工作提供符合規定的勞動保護設施、勞動防護用品及其他勞動保護條件。乙方應嚴格遵守各項安全操作規程。甲方必須自覺執行國家有關女職工勞動保護和未成年工特殊保護規定。

                  The Parties must strictly implement relevant national occupational safety, labor protection and occupational sanitation procedures and standards. Any job exposed to occupational hazards shall be specified in the contract, and Party A shall provide Party B with work safety and hygiene facilities, labor protection equipment and other necessary conditions for Party B’s work activities. Party B must strictly comply with the work disciplines, operating procedures and safety rules set by Party A. Party A must conscientiously carry out relevant provisions formulated by the state for the protection of female and under-aged employees,

                  第七條 勞動合同變更、解除、終止

                  Article 7 Modification, Cancellation and Termination the Employment Contract

                  一、經甲乙雙方協商一致,可以變更勞動合同相關內容。變更勞動合同,應當采用書面形式。變更后的勞動合同文本由甲乙雙方各執一份。

                  1. The Parties may modify relevant terms of the Employment Contract where they have agreed to do so through mutual consultation and agreement.

                  二、經甲乙雙方協商一致,可以解除勞動合同。

                  2. The Parties may terminate the Employment Contract where they have agreed to do so through mutual consultation and agreement.

                  三、乙方提前三十日以書面形式通知甲方,可以解除勞動合同。乙方在試用期內提前三日通知甲方,可以解除勞動合同。

                  3. Party B may terminate the Employment Contract with 30 days’ prior written notice to Party A. Party B may terminate the Employment Contract during the probationary period with 3 days’ written notice to Party A.

                  四、甲方有下列情形之一的,乙方可以解除勞動合同:

                  4. Party B may terminate his employment contract under any of the following circumstances involving Party A:

                  1、未按勞動合同約定提供勞動保護或者勞動條件的;

                  (1) Where Party A has failed to provide labor protection or working conditions as stipulated in the employment contract;

                  2、未及時足額支付勞動報酬的;

                  (2) Where Part A has failed to pay remuneration on time or in full;

                  3、未依法繳納社會保險費的;

                  (3) Where Party A has failed to contribute social insurance premiums on behalf of Party B in accordance with the law;

                  4、規章制度違反法律、法規的規定,損害乙方權益的;

                  4. Where Party A’s policies violate laws or regulations, thereby infringing upon Party B’s rights and interests;

                  5、以欺詐、脅迫的手段或乘人之危,使乙方在違背真實意思的情況下訂立或者變更勞動合同致使勞動合同無效的;

                  (5) Where Party A has concluded or modified the Employment Contract against the true intentions of Party B through the use of fraud, coercion or exploitation of the unfavorable position of Party B, as a result of which this Agreement is deemed null and void; or

                  6、法律、法規規定乙方可以解除勞動合同的其他情形。

                  (6) Other circumstances for termination by Party B as specified under laws and regulations.

                  甲方以暴力、威脅或者非法限制人身自由的手段強迫乙方勞動的,或者甲方違章指揮、強令冒險作業危及乙方人身安全的,乙方可以立即解除勞動合同,不需事先告知甲方。

                  Party B may terminate the Employment Contract with immediate effect and without advance notice to Party A If Party A uses violence, intimidation, or an unlawful restraint of individual freedom to compel Party B to work, or if Party A instructs Party B to violate the law or engage in hazardous work that endangers his personal safety.

                  五、乙方具有下列情形之一的,甲方可以解除本合同:

                  5. Party A may terminate the Employment Contract under any of the following circumstances involving Party B:

                  1、在試用期間被證明不符合錄用條件的;

                  (1) Where Party B proves not to meet the criteria for employment during his probationary period,

                  2、嚴重違反甲方的規章制度的;

                  2. Where Party B has committed a serious violation of Party A’s rules and policies;

                  3、嚴重失職、營私舞弊,給甲方造成重大損害的;

                  3. Where Party B has committed a serious dereliction of duty or has engaged in embezzlement, causing severe losses to Party A’s interests;

                  4、同時與其他用人單位建立勞動關系,對完成甲方的工作任務造成嚴重影響,或者經甲方提出,拒不改正的。

                  4. Where Party B has simultaneously established an employment relationship with another employer, severely hampering his ability to complete work duties, or has refused to rectify the matter following a request to do so by Party A;

                  5、以欺詐、脅迫的手段或乘人之危,使甲方在違背真實意思的情況下訂立或者變更勞動合同致使勞動合同無效的。

                  5. Party B has concluded or modified the Employment Contract against the true intentions of Party A through the use of fraud, coercion or exploitation of the unfavorable position of Party A, as a result of which this Employment Contract is deemed null and void; or

                  6、被依法追究刑事責任的。

                  6. Where Party B is being pursued for criminal liability.

                  六、下列情形之一,甲方提前三十日以書面形式通知乙方或者額外支付乙方一個月工資后,可以解除本合同:

                  6. Party A may terminate the Employment Contract by giving 30 days’ written notice to Party B or by paying Party B an amount equivalent to one month’s salary in lieu of notice, under any of the following circumstances:

                  1、乙方患病或者非因工負傷,在規定的醫療期滿后不能從事原工作,也不能從事由甲方另行安排的工作的;

                  (1) Where Party B has contracted an illness or sustained a non-work-related injury and, following the completion of the medical treatment leave period, is still unable to undertake his work and is unable to undertake other work arranged by Party A;

                  2、乙方不能勝任工作,經過培訓或者調整工作崗位,仍不能勝任工作的;

                  (2) Where Party B is incompetent and remains so even after training or being transferred to a new position.

                  3、勞動合同訂立時所依據的客觀情況發生重大變化,致使原勞動合同無法履行,經甲乙雙方協商,不能就變更勞動合同內容達成協議的。

                  (3) Where major changes have occurred in the objective circumstances under which the Employment Contract was concluded, such that the contract can no longer be performed, and the Parties cannot reach an agreement to modify the Employment Contract following mutual consultations

                  七、甲方依照企業破產法規定進行重整的;或生產經營發生嚴重困難的;或企業轉產、重大技術革新或者經營方式調整,經變更勞動合同后,仍需裁減人員的;或其他因勞動合同訂立時所依據的客觀經濟情況發生重大變化,致使勞動合同無法履行的,應當提前三十日向工會或者全體職工說明情況,聽取工會或者職工意見,裁減人員方案以書面形式向勞動行政部門報告后,可以解除勞動合同。

                  7. Party A may terminate the Employment Contract after it has issued a statement to the trade union or to all employees with 30 days’ prior notice and has considered the opinion of the trade union or employees, and after filing a workforce-reduction plan with the labor administration authority, under any of the following circumstances: (1) where the enterprise is undergoing restructuring pursuant to the provisions of the Enterprise Bankruptcy Law; (2) where serious difficulties have arisen with respect to the manufacturing or operations of the enterprise; (3) where the enterprise is changing its business nature, implementing significant technical reforms or adjusting its operating methods and, following modification of the employment contracts, it is still necessary to retrench employees; or (4) where major changes have occurred in the objective circumstances under which the contract was concluded, such that it can no longer be performed.

                  八、有下列情形之一的,勞動合同終止:

                  8. The employment contract shall expire under any of the following circumstances:

                  1、勞動合同期滿的;

                  (1) Where the term of the employment contract has expired;

                  2、乙方開始依法享受基本養老保險待遇的;

                  (2) Where Party B has started to enjoy basic pension insurance benefits;

                  3、乙方死亡,或者被人民法院宣告死亡或者宣告失蹤的;

                  (3) Where Party B dies, or is declared dead, deceased, or missing by a people’s court;

                  4、甲方被依法宣告破產,被吊銷營業執照、責令關閉、撤銷或者甲方決定提前解散的;

                  (4) Where Party A has had its business license revoked, has been ordered to close or is closed down, or Party A has resolved to undergo liquidation; or

                  5、法律、行政法規規定的其他情形。

                  (5) Under other circumstances as stipulated by laws, administrative rules or regulations.

                  九、勞動合同期滿,乙方具有下列情形之一的,勞動合同應當續延至相應的情形消失時終止;

                  9. If an employment contract expires and any of the circumstances specified in Article 42 hereof applies, the contract’s term shall be extended until the relevant circumstances cease to exist, whereupon the contract shall end.

                  1、從事接觸職業病危害作業的勞動者未進行離崗前職業健康檢查,或者疑似職業病病人在診斷或者醫學觀察期間的;

                  (1) Has engaged in work that exposed him to the risk of occupational disease, and the employee either has not yet completed a pre-dismissal health examination or is suspected of having a work-related disease for which he is being diagnosed or examined;

                  2、在本單位患職業病或者因工負傷被確認喪失或者部分喪失勞動能力的;

                  (2) Has contracted an occupational disease or sustained a work-related injury, due to which he has been confirmed as having totally or partially lost the ability to work;

                  3、患病或者非因工負傷,在規定的醫療期內的;

                  (3) Has contracted an illness or sustained a non-work-related injury and is currently within the medical treatment period;

                  4、女職工在孕期、產期、哺乳期的;

                  (4) Is a female employee who is currently pregnant or within the maternity leave or post-natal period;

                  5、在本單位連續工作滿十五年,且距法定退休年齡不足五年的;

                  (5) Has worked continuously for the same employer for a period of at least 15 years, and is within 5 years from the statutory age of retirement; or

                  6、法律、法規規定的其他情形。

                  (6) Under other circumstances as stipulated by laws, administrative rules or regulations.

                  十、乙方具有本條第九款情形之一的,甲方不得依據本條第六款第七款的約定解除本勞動合同。

                  10. In any of the 9 circumstances set forth herein, Party A shall not terminate the Employment Contract pursuant to Article6.7 hereof.

                  第八條 違反勞動合同的責任

                  Article 8 . Liabilities for Breach of the Employment Contract.

                  甲方違法解除或終止本合同,應向乙方支付賠償金;乙方違法解除本合同,給甲方造成經濟損失的,應依法承擔賠償責任。

                  Where Party A terminates the Employment Contract or allows it to expire in violation of this law, Party A must pay damages to Party B. Where Party B terminates the Employment Contract in violation of this law, thereby causing Party A to incur losses, he shall be liable for compensation.

                  第九條 雙方需要約定的其他事項

                  Article 9 Other matters considered necessary by the Parties

                  第十條 其他

                  Article 10 Miscellaneous

                  1、本合同在履行中發生爭議,任何一方均可向企業勞動爭議調解委員會申請調解,也可向勞動爭議仲裁委員會申請仲裁。對仲裁裁決不服的,可以向人民法院起訴。

                  (1) If any dispute arises under this Contract, either Party may file an application for mediation with the enterprise labor dispute mediation committee, or file an application for arbitration with the labor dispute arbitration committee. If either party disagrees with the arbitration ruling, the party may file a proceeding in a People’s Court with competent jurisdiction.

                  2、本合同未盡事項,按國家有關法律法規執行。

                  (2) Matters that are not provided in this Contract will be dealt with in accordance with existing laws, rules and regulations.

                  3、本合同條款如與今后國家頒布的法律法規相抵觸時,按國家新的法律法規執行。

                  (3) Should any provision of this Contract be in violation of the PRC laws or regulations, the new laws and regulations shall govern.

                  4、本合同依法訂立,雙方簽字蓋章后生效,雙方必須嚴格履行。

                  (4) This Contract is entered into in accordance with the law and shall be effective upon execution by the Parties. The Parties must strictly perform this Contract.

                  5、本合同一式兩份,甲乙雙方各執一份。

                  (5) This Contract is produced in two original copies. Each party shall keep one original copy.
