                  八、模具管理

                  1、 乙方有責任對模具進行維護、保持完好,如需修改或重新開模具必須事先通知甲方,經甲方確認,費用由乙方承擔。

                  2、 模具的所有權歸甲方。甲方享有對模具的獨占性,乙方只能把模具用于為甲方生產產品,不得將產品或模具提供給任何其它第三方。

                  襖  1.本合同簽訂生效後7日內,乙方應以書面提供甲方確實可行的“模具制造流程進度表”(詳見附件  ),經甲方認可後,成為本合同的一部分。

                  莃2.若甲方對於乙方所提供的材料數量、規格、品質或其品質證明文件有異議時,甲方可以自行送第三人處監定,若監定結果顯示材料的數量、規格或品質與附件或相關技術文件不符,乙方除承擔合同違約金外,還應承擔材料監定費用。

                  蒈3.試模所需的材料,應由乙方提供,不向甲方另行收取費用。

                  莇第六條試模、修模及交付義務

                  膄1.每次試模前,乙方應通知甲方,并主動指派具有專業及適當知識、經驗的人員試模,否則如模具因而受到任何毀損、滅失,或因實施補救措施所產生的一切費用均由乙方負擔。

                  螃2.乙方如有運送本模具至他處試模的需要時,應事前取得甲方書面同意,且乙方應自行負擔該試模費及運費,不得向甲方另行收取費用。如運送人、運送承攬人或第三人於模具運送或試模過程中發生任何毀損、滅失,均由乙方負責。

                  膀3.試模後,乙方應於日內將射出、沖壓、壓鑄、鍛造或其他方式制成的樣品交付甲方檢驗。并依照甲方告知的改善意見修模,至模具射出、沖壓、壓鑄、鍛造或其他方式制成的樣品經甲方驗收合格為止。

                  膆第七條設計變更

                  芄如甲方要求變更設計原模具,以新設計圖與原設計圖相比較,乙方無須更換模仁或重新備料制作模具等重大變更時,乙方同意修改模具,并不要求增加任何定作報酬或費用。若須更換模仁或重新備料制作模具等重大變更時,因此增加費用由雙方另行以書面確定。

                  膄第八條驗收方法及標準

                  蚈1.驗收標準:

                  腿1.1樣品:本模具射出、沖壓、壓鑄、鍛造或其他方式制成的樣品應符合甲方提供與乙方的圖面尺寸、公差、外觀及功能等要求,并系可量產的樣品(量產成品應與樣品相同),如有爭議,應以甲方對該樣品的產品出廠驗收標準為準。

                  莄1.2模具:本模具應符合雙方約定的品質、規格、功能及效用。

                  芁2.如樣品及模具均符合前項規定時,甲方應向乙方出具“驗收合格書”。如乙方送樣零件樣品被甲方確認不合格,應自收到甲方“不合格品通知單”之日起五日內,再次送樣給甲方確認。

                  莀3.驗收合格後,乙方應配合甲方針對成型工廠改善意見,并結合其環境因素,如機臺配件,特殊料管接頭、零件等,以達成生產量產成品為目的。

                  羈第九條 品質保證及維修義務

                  蒃1.乙方保證本模具、最後樣品及量產成品規格、品質、功能及效用均符合雙方約定,且無任何隱藏瑕疵。

                  螞2.乙方保證在一般成型廠正常作業情況下,本合同模具射出次數,除雙方另以書面約定者外,塑膠制品所用模具,應達萬模次以上;金屬制品所用模具應達萬模次以上,其他材質模具最低模次依雙方書面協定。如未滿前述雙方約定次數,模具已毀損、難以使用或不能使用時,乙方應於日內免費修理完畢。如不能修理時,乙方應在原模具制作相同時間內,免費再重制一份。

                  肂3.乙方在模具保證期間內,應免費提供甲方模具維修服務,使其得以正常運作,以符合甲方產銷需求。但若因設計變更,導致模具需更換模仁或大規模修補,相關費用雙方進行商討議定。

                  螇第十條權利的歸屬

                  蒃1.本合同各階段的模具(不論完成與否),及其射出、沖壓、壓鑄、鍛造或其他方式制成的樣品(包括成品及半成品)、量產成品,及甲方提供乙方的所有資料,包括但不限於書面文件、圖片、照片及電子檔案,其所有權均歸屬甲方。未經甲方書面同意前,乙方及其員工不得擅自出售、轉售、租賃、贈與或以任何其他方式處分或提供該等模具、樣品、最終樣品、量產成品或資料、技術圖樣於任何第三人。

                  肅2.因本合同開發制造模具過程中而產生的知識產權,包括但不限於著作權、專利權、商標權及商業秘密,除甲方與第三人另有其他約定外,該智慧財產權均歸屬甲方。乙方及其員工不得將該等權利向任何機關或單位申請專利權、著作權或其他知識產權的注冊。

                  薀3.除本合同另有規定外,雙方不因本合同的簽訂而有任何權利的移轉或授權。乙方及其員工未經甲方事前書面同意,不得擅自制作、仿制或改造本合同模具。乙方茲確認任何違反本條款的行為,會造成甲方極嚴重的損害及損失,其數額可能超越本合同約定違約責任及本模具的定作報酬。

                  蒆第十一條 模具保管責任及交付

                  薃  1.本合同模具及樣品驗收合格後,除雙方另有約定外,乙方應立即將模具交付甲方,乙方同意甲方可於任何時間內收回本模具。

                  蒄2.自本合同簽訂之日起在本合同有效期間內,乙方應以善良管理人義務保管并維護本模具,并使本模具處於隨時得生產量產成品狀態。所有關於本模具的調度、修改等行為,乙方須遵守甲方指示,如有違反致使模具發生損壞、無法正常運作或遺失等情事,概由乙方負責。

                  節第十二條資料及樣品的歸還

                  蕿1.於甲方書面請求時,乙方應立即歸還甲方所提供一切圖面及相關資料,并將電子資料銷毀。

                  蚃2.本合同模具射出、沖壓、壓鑄、鍛造或其他方式制成的樣品,不論為成品或半成品,乙方最遲應於本合同模具驗收合格後日內或甲方書面請求後日內交付甲方或銷毀。

                  薁第十三條有下列情形之一的,甲方可解除本合同

                  蠆 1.乙方送樣樣品達不到約定標準,經三次送樣後,仍然無法達到。

                  羋 2.乙方未按本合同規定的時間送樣,經甲方催促後,在10日內仍未送樣。

                  螃因上述情形甲方解除本合同的,乙方同意甲方對乙方為制作模具已耗費用不予補償,并賠償甲方所遭受的經濟損失。

                  羈第十四條保密條款

                  莁甲方提供乙方的圖面說明書、其他資料及本模具、樣品,均屬甲方業務機密,乙方及其員工不得以任何方式揭露或交給第三人,如違反規定乙方應依第十五條向甲方承擔違約金并負損害賠償責任。

                  肆第十五條違約責任

                  肇1.乙方違反本合同約定延遲履行的,應向甲方支付相當於模具費1%/日的違約金,逾期10日以上,甲方可單方面解除本合同;因不可抗力及甲方變更設計除外。

                  蒂2.乙方違反本合同第十條、第十四條規定,應向甲方承擔違約金   萬元,違約金不足以彌補甲方經濟損失的,應賠償甲方經濟損失。

                  衿3.本合同模具制作存在根本質量問題的,乙方應當支付甲方模具費用20%的違約金。違約金不足以彌補甲方損失的,應賠償甲方的經濟損失。

                  聿第十六條合同的解釋

                  膇與履行本合同相關的技術資料,圖紙及模具訂購單等文件是本合同有效組成部分.本合同不應被解釋為甲方有義務向乙方訂購用該模具生產的產品。本合同如有未盡事宜,需經雙方共同協商,作出書面補充規定或按《中華人民共和國合同法》等法規進行解釋和執行。

                  袃第十七條解決合同糾紛的方式

                  薁  本合同在履行過程中發生的爭議,由雙方當事人協商解決;協商不成的,按下述第  種方式解決:

                  芇2.依法向本合同簽訂地有管轄權的人民法院起訴。

                  芄第十八條合同的效力和變更

                  聿 1.本合同自雙方簽字或蓋章的日起生效。本合同如與雙方以前的口頭或書面協定有抵觸,以本合同爲準。

                  蚇 2.合同附件是本合同不可分割的一部分,與本合同具有同等法律效力。本合同及附件內,空格部分填寫的文字與印刷文字具有同等效力。

                  莆 3.本合同正本一式  份,具有同等法律效力,合同持有情況如下:甲方 3 份,乙方  份。

                   4.本合同的修改,必須采用雙方同意的書面形式。

                  第十九條雙方確認,在簽署本合同前已經仔細審閱過本合同的內容,并完全了解本合同各條款的法律含義。

                  【篇四】模具加工合同范本

                  合同訂立原則

                  平等原則:

                  根據《中華人民共和國合同法》第三條:“合同當事人的法律地位平等,一方 不得將自己的意志強加給另一方”的規定,平等原則是指地位平等的合同當事人, 在充分協商達成一致意思表示的前提下訂立合同的原則。這一原則包括三方面內 容:①合同當事人的法律地位一律平等。不論所有制性質,也不問單位大小和經濟 實力的強弱,其地位都是平等的。②合同中的權利義務對等。當事人所取得財產、 勞務或工作成果與其履行的義務大體相當;要求一方不得無償占有另一方的財產, 侵犯他人權益;要求禁止平調和無償調撥。③合同當事人必須就合同條款充分協 商,取得一致,合同才能成立。任何一方都不得凌駕于另一方之上,不得把自己的 意志強加給另一方,更不得以強迫命令、脅迫等手段簽訂合同。

                  自愿原則:

                  根據《中華人民共和國合同法》第四條:“當事人依法享有自愿訂立合同的權 利,任何單位和個人不得非法干預”的規定,民事活動除法律強制性的規定外,由 當事人自愿約定。包括:第一,訂不訂立合同自愿;第二,與誰訂合同自愿,;第 三,合同內容由當事人在不違法的情況下自愿約定;第四,當事人可以協議補充、 變更有關內容;第五,雙方也可以協議解除合同;第六,可以自由約定違約責任, 在發生爭議時,當事人可以自愿選擇解決爭議的方式。

                  公平原則:

                  根據《中華人民共和國合同法》第五條:“當事人應當遵循公平原則確定各方 的權利和義務”的規定,公平原則要求合同雙方當事人之間的權利義務要公平合理 具體包括:第一,在訂立合同時,要根據公平原則確定雙方的權利和義務;第二, 根據公平原則確定風險的合理分配;第三,根據公平原則確定違約責任。 誠實信用原則:

                  根據《中華人民共和國合同法》第六條:“當事人行使權利、履行義務應當遵 循誠實信用原則”的規定,誠實信用原則要求當事人在訂立合同的全過程中,都要 誠實,講信用,不得有欺詐或其他違背誠實信用的行為。

                    第三條:原材料來源

                    1、原材料來源:模具制造生產所需的材料由乙方承擔。乙方必須保證按甲方提供的技術要求采購原材料,以確保產品質量的穩定性,若乙方偷工減料或以次充好,甲方可單方面終止合同

                    第四條:交(收)貨方法、地點及運雜費負擔:

                    1、交貨方法及驗收:本合同模具在乙方按甲方提供的圖紙技術要求進行試模、送樣,并經雙方確認簽板后視為模具驗收合格。

                    2、交貨地點:甲方指定場所________________________。

                    3、交貨時間:乙方模具生產自付款之日起______天前交付本合同模具。否則,乙方必須承擔延期交貨給甲方造成的損失(每遲交1日,罰款200元)。如是甲方原因造成不能如期交貨的,經甲方書面形式確認后,交付時間可以按延誤時間順延。

                    4、運雜費用承擔:由乙方送貨到甲方指定地點,運費由乙方承擔。
