Article 1

Article 3
Working hours, rest breaks and holidays
Party A shall implement the following ( ) type of working hour system for the position of Party B.

In accordance with government requirements, party A and party B should strictly comply with rules of woking times.For option A, the normal working hours of the Employee shall be eight hours each day, excluding meals and rest for an average of five days per week, for an average of forty hours per week. The Employer may extend working hours due to the requirements of its production or business after consultation with the trade union and the Employee ,but the extended working hour for a day shall generally not exceed one hour; If such extension is called for due to special reasons, the extended hours shall not exceed three hours a day. However, the total extension in a month shall not exceed thirty-six hours. For option B or C, on the basis of ensure party B have a good health and would listen to party B’s idea, party A can take measures of concentrated work, concentrated rest, additional time off , flexible working hour to ensure party B can enjoy the right of rests,vocations and can complete productions and working tasks.
Party B shall be entitled to legal annual vacations.
Article 4
Labor Remuneration
1. The salary of the Employee is RMB _____ per month in the probationary period. This salary should not lower than the lowest salary standard on the same position in our company or 80%of its official wage, and its also shouldn’t lower than local minimum wage standard.

Article 5
Insurance, Welfare and Benefits
1. Party A shall pay relevant social insurance to designated authorities on Party B’S behalf in a timely manner in accordance with government requirements. And the personal part will be deducted from the salary.
2. Party B"s vocation of pregnancy, childbirth, breast-feeding and the corresponding treatment should according to the relevant regulations,such as maternity insurance, female employee"s labor protection,etc.
3. The treatment for Party B’s occupational disease or job related injuries (death), sickness or non-job related injuries, and the provied of medicaid expenses paid should be carry out by ndustrial injury insurance, medical insurance and related provisions.
Article 6
Working Protection & Working Conditions
a. Party A and Party B shall strictly comply with the national regulations which concerning production safety and abide by regulations of labour protection and occupational hazards and protection of workers.
b. Party A shall provide Party B protection facilities, equipment and labor protection articles and other labor protection conditions in accordance with the national labor.
c. Party B shall strictly comply with the safe operation and the relevant rules and regulations prepared by Party A in accordance with law. If Party A illegal command or force risk operation, party B have the right to refuse it.
d. Party A must strictly implement relevant Occupational Disease Prevention Laws, for the positions expose to occupational disease hazards,such as exposure to dust, radioactive substances and other toxic and hazardous substances, Party A should tell the truth and its consequences on occupational hazards, protective measures and treatment of occupational diseases to party B, and take preventive measures and protection facilities which meet the requirements of the national occupational health.
e. If Party B is engaged in the operation that may expose to occupational disease hazards, Party A shall organize occupational health examination before go on duty and leave the post in accordance with relevant national provisions, and shall conduct regular occupational health examination on Party B during the contract term.
Article 7
Amendment, Termination and Ending of Employment Contracts
1. The employment contract could be amended in a friendly negotiation with the amendment procedure operating in time.
2. Other than the circumstances stipulated in Article 38 in “Employment Contract Law”, Party B may terminate his employment contract upon 30 days’ prior written notice to Party A. During his probation period, he may terminate his employment contract by giving Party A three days’ prior notice.
3. Party A may terminate employment contract involving in the circumstances specified in Article 39, 40 & 41 in “Employment Contract Law”. Should Party B falls in the circumstance specified in Article 42 in “Employment Contract Law”, Party A must not terminate employment contract according to items regulated in Article 40 & 41 in “Employment Contract Law”.
4. The employment contract may terminate if it conforms to the circumstance as specified in “Employment Contract Law” and other national, provincial and municipal employment contract related provisions.
5. Termination of employment contract to employees who suffer employment injury or occupational disease shall be operated against national employment injury provisions.
6. Party A shall pay the employee severance pay involving in the circumstances specified in Article 46 in “Employment Contract Law”.
7. At the time of termination or ending of an employment contract, Party A shall issue a proof of termination or ending of the employment contract and, within 15 days, carry out the procedures for the transfer of Party B’s file and social insurance account. Party B shall carry out the procedures for the handover of his work as agreed by the parties.
Article 8

Article 9
Party A shall establish internal rules and regulations against legal procedures with Party B informed and noted. Party B shall strictly abide by rules and regulations set by Party A.
Article 10
Where an employment dispute between the parties takes place during the performance of this contract, the parties concerned may seek for a settlement through consultation or may apply to the employment dispute mediation committee of Party A’s unit for mediation. If the mediation fails and one of the parties requests for arbitration, that party may also directly apply to the employment arbitration committee located in Party A’s for arbitration in 60 days upon the employment dispute occurrence.
Article 11
8.編制安全預評價報告For matters not covered by this contract, or in the event that the provisions of this contract contravene applicable laws, regulations and policies, applicable laws, regulations and policies shall control.

第二條 工作內容、工作地點及要求

第三條 工作時間和休息休假
Article 3 Working Hours, Rest and Leave Entitlements
一. 工作時間按下列第 1 項確定:
The working hours shall be determined as set forth in Item ___ 1 below:
1. 實行標準工時制。乙方每日工作時間不超過8小時,每周工作時間不超過40小時,每周至少休息一天。
The normal working hour system shall be implemented. Party B shall work no more than 8 hours a day, and 40 hours a week, and shall have at least one day’s rest each week.
2. 實行經勞動保障行政部門批準實行的不定時工作制。
A non-fixed working hour system shall be implemented with the necessary approval from the relevant labor administration authorities.
3. 綜合計算工時工作制,即經勞動保障部門審批,乙方所在崗位實行綜合計算工時工作制。
Cumulative working hour’s system approved by the labor and social security department and the Calculation period is ____.
二. 甲方由于生產經營需要可以延長乙方正常工作日的工作時間及要求乙方休息日加班,因工作能力或效力導致的加班屬于正常工作時間。
Due to its operational needs, Party may extend Party B’s working hours on weekdays and work overtime on weekends. Work overtime due to personal working ability or efficiency is considered as normal working hour.
第四條 勞動報酬及支付方式與時間
Article 4 Working Remuneration, Payment Method and Date of Payment
一、甲方每月 日以貨幣的形式足額支付乙方上月稅前工資。如遇節假日則相應順延。
Party A shall pay pretax salary of last month to Party B in currency on the_______ of every month, In case of holiday is extended accordingly.
二、乙方月勞動報酬為基本工資 元,績效工資及其他補助津貼按公司相關薪酬管理制度執行。
The monthly remuneration for Party B shall be RMB_ . Performance pay and allowance is implemented according to related remuneration management system.
三、乙方工資的增減,獎金、津貼、補貼的發放,以及特殊情況下的工資支付等,均按相關法律法規及甲方依法制定的規章制度執行。甲方支付給乙方的工資不得低于當地最低工資標準。
Party B’s wage increase/decrease, bonuses, allowances and subsidies, as well as the wage payment in special circumstances, shall be governed by relevant laws and regulations and Party A’s internal rules and policies. The wages paid by Party A to Party B shall not be less than the minimum wage standard stipulated by the people’s government where the employer is located.
四、乙方在享受法定休假日以及依法參加社會活動期間,甲方應當依法支付工資。
During any period when Party B participates in any social activities which citizens are requested to perform for national or public interests, during statutory working hours, Party A shall pay wages to Party B according to the law.
五、甲乙雙方對工資的其它約定:
Other agreements between Party A and Party B:
1. 甲方可根據實際經營狀況、內部規章制度,對乙方的考核結果以及乙方的工作年限、獎罰記錄、崗位變化等,調整乙方的工資水平,但不可低于國家規定的最低工資標準;
Party A is entitle to adjust salary of Party B if there are changes on actual operating condition, working period, reward and disciplinary record or position change of Party B. But will not below the national minimum wage standards.
2. 因公司業務及行業需要可能超時工作并且周六、周日需正常工作,員工每月工資總額中已包含了超時工作及周六、周日的加班工資,法定節假日加班工資的計算以基本工資為計算依據。
Work overtime as need. Monthly employee payroll contain overtime wages, including Saturday and Sunday. Public holiday overtime pay is calculated on the basis of basic wage.
第五條 社會保險及福利待遇
Article 5 Social Insurance and Welfare
一. 甲乙雙方必須依法按國家及省、市有關規定參加社會保險,按月繳納社會保險費。乙方繳納部分,由甲方在乙方工資中代為扣繳。
Party a and Party B must participate in social insurance and pay social insurance premiums on a monthly basis in accordance with the national and provincial law. The amount payable by Party B shall be withheld by Party B from the Party A’s monthly wages.
二. 乙方患病或非因工負傷,甲方應按國家和省、市的有關規定給予乙方享受醫療期和醫療期待遇。
Where Party B has contracted an illness or sustained a non-work-related injury, Party A should give Party B medical treatment and medical leave accordance with National or provincial regulation.
三. 乙方患職業病、因工負傷的,甲方按《職業病防治法》、《工傷保險條例》等有關法律法規的規定執行。
Where Party B has contracted an occupational diseases or industrial injury, party A have to implement related provisions according to the "occupation disease prevention law", industrial injury insurance regulations" and other relevant laws and regulations.
四. 乙方依法享有法定節假日、年休假、婚假、產假、喪假等假期。
Party B shall have public holiday, Annual leave, Marriage leave, Maternity leave and Compassionate leave according to the National Law.
第六條 勞動保護、勞動條件和職業危害防護
Article 6 Labor Protection, Working Conditions and Protections against Occupational Hazards
一. 甲乙雙方都必須嚴格執行國家有關安全生產、勞動保護、職業衛生等規定。有職業危害的工種應在合同約定中告知,甲方應為乙方的生產工作提供符合規定的勞動保護設施、勞動防護用品及其他勞動保護條件。乙方應嚴格遵守各項安全操作規程。甲方必須自覺執行國家有關女職工勞動保護和未成年工特殊保護規定。
The Parties must strictly implement relevant national occupational safety, labor protection and occupational sanitation procedures and standards. Any job exposed to occupational hazards shall be specified in the contract, and Party A shall provide Party B with work safety and hygiene facilities, labor protection equipment and other necessary conditions for Party B’s work activities. Party B must strictly comply with the work disciplines, operating procedures and safety rules set by Party A. Party A must conscientiously carry out relevant provisions formulated by the state for the protection of female and under-aged employees.
第七條 規章制度
Article 7 Regulation and Rules
一. 甲方依法制定的規章制度,應當告知乙方。

二. 乙方應遵守國家和省、市有關法律法規和甲方依法制定的規章制度,按時完成工作任務,提高職業技能,遵守安全操作規程和職業道德。

三. 乙方自覺遵守國家和省、市計劃生育的有關規定。

第八條 保密條款
Article 8 Confidential Agreement
簽訂本合同之前甲乙雙方已簽署《保密協議》,乙方承諾同意并嚴格遵守保密協議中約定的義務。
This contract will be signed after the 《Confidential Agreement》by both Parties, Party B promises to agree and strictly abide by the obligations agreed in Confidential Agreement.
第九條 合同的履行和變更
Article 9 Performance & Alternation of Contract
一. 甲方應按照約定為乙方提供適當的工作場所、勞動條件和工作崗位,并按時向乙方支付勞動報酬。乙方應當認真履行自己的勞動職責,并親自完成本合同約定的工作任務。
Party A shall furnish Party B with proper working place, labor conditions and position, and shall also pay the remuneration to Party B on time, conforming to the provisions herein. Party B shall fulfill his responsibilities herein in due diligence.
二. 甲乙雙方經協商一致,可以變更合同。變更合同應采用書面形式。變更后的合同文本雙方各執一份。
Both of Party A and Party B reach a consensus on alteration of contract, which shall be in written form. Both parties shall keep a copy of revised contract.
第十條 合同解除和終止
Article 10 Dissolution and Termination of Contract
一. 甲乙雙方協商一致,可以解除合同。
Where Party A and Party B reach a consensus, the contract can be terminated.
二. 乙方提前三十日以書面形式通知甲方,可以解除勞動合同;乙方試用期內提前三日通知甲方,可以解除勞動合同。
To terminate the contract, Party B shall inform Party A in written notice in a thirty days advance. Party B in three days advance notice to Party A in probation period.
三、乙方在工作期間需嚴格遵守中華人民共和國的法律法規、行政規章,因乙方違法律法規、行政規章而受到法律的制裁及行政處罰,甲方有權解除本合同而無需支付任何補償及賠償。
During work period, Party B is required to strictly comply with the Law and regulations, administrative rules of P.R.C. In case Party B get legal penalties and administrative penalties due to violation of laws and regulations. Party A is entitled to rescind the contract without any compensation.
四、合同解除和終止的其他條件和補償按《勞動合同法》的有關規定執行。
To terminate the contract, Party B shall inform Party A in written notice in a thirty days advance. Party B in three days advance notice to Party A in probation period.
第十一條 合同解除和終止手續
Article 11 Contract Rescission and Termination Procedures
一. 甲乙雙方解除和終止本合同的,乙方應按雙方約定,辦理工作交接等手續。甲方應依法向乙方出具書面證明,并在十五日內為乙方辦理檔案和社會保險關系轉移手續。
When terminate contract by both parties, Party B shall handover all the work to Party A according to the agreement. Party A shall issue a certification documents to Party B, and transfer files and social insurance relationship within fifteen days.
第十二條 爭議處理
Article 12 Dispute Settlement
一. 甲乙雙方協商解決。
Any dispute shall be solved by negotiation.
二. 甲乙雙方協商不成,可由爭議的一方申請勞動仲裁。
In case of unsuccessful negotiation, the contending party may apply for labor arbitration.
第十三條 雙方需要約定的其他事項
Article 13 Other matters considered necessary by the Parties
一. 甲方可根據工作需要及乙方的身體狀況、工作能力和表現根據甲方的規章制度升、降乙方的職務,乙方愿意服從甲方的安排;入職前,甲方已安排專職翻譯向乙方詳細翻譯并解釋了甲方的《員工手冊》、《薪酬管理制度》等規章制度,乙方已熟知、理解、并同意自覺遵守甲方的相關規章制度。
Where Party A is able to promote or demote Party B base on the needs of work, physical condition, ability and performance, which is according to the Company regulations. Party B is willing to accept Part A’s arrangement. Pre-commencement, Party A have arranged full-time translator to translate and explain the details of regulations and rules of 《Employee Handbook》and《Remuneration Rule》.Party B should familiar with, understand, and agree to abide to Party A’s relevant regulation and rules.
第十四條 其他
Article 14 Miscellaneous
一. 本合同在履行中發生爭議,任何一方均可向企業勞動爭議調解委員會申請調解,也可向勞動爭議仲裁委員會申請仲裁。對仲裁裁決不服的,可以向人民法院起訴。
If any dispute arises under this Contract, either Party may file an application for mediation with the enterprise labor dispute mediation committee, or file an application for arbitration with the labor dispute arbitration committee. If either party disagrees with the arbitration ruling, the party may file a proceeding in a People’s Court with competent jurisdiction.
二. 本合同未盡事項,按國家有關法律法規執行。
Matters that are not provided in this Contract will be dealt with in accordance with existing laws, rules and regulations.
三. 本合同條款如與今后國家頒布的法律法規相抵觸時,按國家新的法律法規執行。
Should any provision of this Contract be in violation of the PRC laws or regulations, the new laws and regulations shall govern.
四. 本合同依法訂立,雙方簽字蓋章后生效,涂改或未經書面授權代簽無效,雙方必須嚴格履行。
This Contract is entered into in accordance with the law and shall be effective upon execution by the Parties. Any alter or without written authorization is invalid. The Parties must strictly perform this Contract.

2.2甲方根據生產經營的需要以及依據乙方的能力(專業、技能、健康)和工作表現,可在協商一致的基礎上調整或重新分配乙方的工作職位,如乙方同意被分派到一個不同的職位,則甲方有權根據該職位的要求和該職位的市場情況重新審定和調整乙方的報酬。

第三條 工作時間
Article 3 Working Time
3.1 甲方實行每周正常的工作時間40小時(用餐、休息時間除外),特殊崗位需實行不定時工作制或綜合計時制的,雙方將另行簽訂《補充協議》。
3.1 Party A will implement an ordinary work week of 40 hours (excluding meals and rest periods). For special positions that require an indefinite period of time or a certain accumulated amount of time, both sides will sign a separate "supplementary agreement."
3.2甲方因工作需要,如需延長工作時間的,應按國家有關規定執行。

第四條 勞動保護和勞動條件

4.1甲方應按《中華人民共和國勞動法》規定,必須為乙方提供符合國家規定、安全衛生的工作環境,保證乙方在人身安全及人體不受危害的環境條件下工作;甲方根據乙方的崗位實際情況,按照國家及甲方的規定向乙方提供必要的勞動防護用品。
4.1 Party A shall, according to "The Labour Law of the People"s Republic of China," conform to the state regulations in providing for Party B a safe and healthy working environment, and guarantees that Party B works under conditions where personal security and the human body are not endangered; according to the working conditions of Party B, and according to the regulations of the State and Party A, Party A shall provide to Party B any necessary protective articles.
4.2甲方負責對乙方進行職業道德、業務技術、勞動安全衛生及各種規章制度的教育和培訓。包括但不限于《人事手冊》在內的甲方各類的培訓材料及培訓內容均可作為對乙方工作表現的考核標準

第五條 勞動報酬
Article 5 Labour Remuneration

第七條 勞動保險、福利待遇

六、勞動紀律和規章制度 labor discipline and regulations
1、甲方依法制定的勞動紀律和規章制度,乙方有義務遵守;labor discipline and regulations legally stipulated by party a, party b shall have the duty to abide by it.
2、簽訂本合同前,甲方已對乙方進行了勞動紀律、操作規程、管理制度等相應的培訓;before signing this contract, party a has to provide party b the labor discipline, operating procedures, management system and the corresponding training
3、乙方應當遵守甲方的工作操作規程,服從工作安排;party b shall abide by the working procedures, obey the work arrangement of party a.
4、乙方違反勞動紀律或規章制度,甲方有權按本單位的規章制度,給予紀律處分,直至解除本合同。if party b violates labor discipline or regulations, party a is entitled by the rules of the unit to give party a disciplinary action, up to terminate this contract.
七、勞動合同的變更 the change of labor contract

(五)乙方有下列情形之一的,甲方不得解除勞動合同:of any of the following circumstances, party a can not terminate the labor contract.
1、在本單位患職業病或者因工負傷并被確認喪失或者部分喪失勞動能力的;injured due to occupational disease or work-related reasons, and was confirmed as having lost or partially lost the ability to work.

九、勞動合同的終止termination of labor contracts

第四條 原則上執行標準工時制度,乙方每日工作時間8小時,每周工作40小時。
clause 4 party b shall be subject to the standard working hour system in principle, namely eight hours per workday and forty hours per week.
第五條 因設計工作的特殊性,如項目要求需要加班,不計加班費。 clause 5 any extra hour worked by party b for project need as the result of special feature of design work shall not be charged.
第六條 甲方為乙方提供必要的工作條件,建立健全工作方式,制訂工作規范和工作制度。
clause 6 party a shall provide necessary work conditions for party b, establish sound work mode, and formulate job specification and system.
四、勞動報酬labor remuneration
第七條 甲方每月 18 日前以貨幣形式支付乙方工資,每月實發工資稅后為 元。

五、福利待遇welfare and benefits
第八條乙方患病或非因工負傷的醫療待遇按國家、北京市有關規定執行。甲方按 xxx管理制度 支付乙方病假工資。

第九條 乙方患職業病或因工負傷的待遇按國家和北京市的有關規定執行。
clause 9 party b shall be entitled to the benefits as set forth in the relevant rules and regulations of the state and beijing municipality if he/she is ill with occupational disease or injured due to work.
第十條 甲方為乙方提供以下福利待遇:詳則見xxx管理制度。 clause 10 party a shall enable party b to be entitled to the following welfare and benefits: refer to xxx management system for details.
六、合約的變更、解除contract alternation and cancellation
第十一條 有下列情形之一的,甲乙雙方應變更合同并及時辦理變更合同手續:
clause 11 party a and party b shall alter this contract and promptly go through contract alternation procedures if any of the following circumstances happens:
(一)甲乙雙方協商一致的;party a and party b reach an agreement on alternation upon negotiation;
(二)訂立本合同所依據的客觀情況發生重大變化,致使本合同無法履行的;the performance of this contract is rendered discontinued by the substantial change of objective circumstances which the conclusion of this contract is relied upon;
(三)訂立本合同所依據的法律法規、規章發生變化的。laws, rules and regulations upon which the conclusion of this contract is relied
change.
第十二條 乙方有下列情形之一的,甲方可以解除本合同:
clause 12 party a shall be entitled to cancel this contract in any of the following circumstances:
(一) 在試用期間被證明不符合錄用條件的;party b is proven
during the probationary period not to satisfy the requirements
of employment;
(二) 嚴重違反勞動紀律或者甲方利益造成重大損害的;party
b materially violates labor disciplines or causes substantial
damage to party a’s interests;
(三) 嚴重失職,營私舞弊,對甲方利益造成重大損害的;party
b seriously neglects his duty, engages in malpractice for
selfish ends and brings significant damage to party a’s
interests;
(四) 被依法追究刑事責任的。part b is being investigated for
criminal liability in accordance with the law.
clause 13 party a may dissolve this contract by giving a thirty-day prior written notice to party b if any of the following circumstances happens:
(一)乙方患病或者非因工負傷,醫療期滿后,不能從事原工作也不能從事由甲方另行安排的工作的;party b is incapable of performing his original work and any new job as arranged by party a after the stipulated period of medical leave for an illness or non-work-related injury expires;
(二)乙方不能勝任工作,經過培訓或者調整工作崗位,仍不能勝任工作的;party b is incompetent and remains incompetent after training or adjustment of his position;
(三)本合同訂立時所依據的客觀情況發生重大變化,致使本合同無法履行,經甲方雙方協商不能就變更工作合同達成協議的。a major change in the objective circumstances on which the conclusion of this contract is relied hinders continued performance of this contract, and after consultation, party a and party b are unable to reach an agreement on amending this contract.
第十四條 甲方瀕臨破產進行法定整頓期間或者生產經營狀況發生嚴重困難,符合裁減人員條件的,甲方可以解除合同。
