第一章總則
第一條為進一步規范商品房銷售行為,加強商品房市場交易秩序監管,維護當事人的合法權益,根據《中華人民共和國城市房地產管理法》、《城市房地產開發經營管理條例》、《城市商品房預售管理辦法》、《四川省合同監督條例》等的規定,結合本市實際,制定本辦法。
第二條本市行政區域國有土地范圍內商品房買賣合同登記備案及其監督管理,適用本辦法。
第三條市房產管理部門負責全市商品房買賣合同登記備案的監督工作。
錦江、青羊、金牛、武侯、成華及高新區(以下統稱主城區)內的商品房買賣合同登記備案的變更、注銷工作由市房屋產權登記中心具體負責,其他區(市)縣房產行政主管部門具體負責轄區內商品房買賣合同登記備案的變更、注銷工作。
市房地產信息中心負責全市商品房買賣合同登記備案的入網權限管理、系統維護及網絡信息技術支持。
第四條商品房買賣合同登記備案及其變更、注銷,堅持方便、及時、高效和申請人對申請材料真實性負責的原則。
第二章登記備案
第五條商品房買賣合同的登記備案,由開發企業在商品房買賣合同網上簽約并聯機打印和雙方署名后,通過房屋交易系統(以下簡稱交易系統)自行辦理。
第六條商品房預售的,房地產開發企業與商品房買受人簽訂商品房買賣合同前,應當向買受人出示商品房預售許可證、買賣合同及其補充協議文本等。向商品房買受人說明預售房屋的狀況,告知商品房買賣合同網上簽約、聯機打印和辦理商品房買賣合同網上登記備案的程序、要求和注意事項。
商品房現售的,應當完成商品房初始登記。房地產開發企業與商品房買受人簽訂商品房買賣合同前,應當向買受人出示房屋所有權證、買賣合同及其補充協議文本等。向商品房買受人說明現售房屋的狀況,告知商品房買賣合同網上簽約、聯機打印和有關要求及注意事項。
第七條房地產開發企業與買受人根據交易系統中商品房買賣合同示范文本及其補充協議指導文本協商擬定合同條款。
第八條房地產開發企業與買受人按照下列程序進行商品房買賣合同網上簽約與聯機打印,并按規定完成預售商品房買賣合同備案:
(一)雙方當事人通過交易系統填寫商品房買賣合同內容,并確認合同內容無誤后(可通過預覽或預打印方式核對),正式提交。交易系統隨后在商品房的樓盤表中顯示該套商品房已經處于擬定合同狀態。
(二)房地產開發企業通過交易系統聯機打印商品房買賣合同,交易系統同時自動生成該商品房買賣合同編號,買賣雙方共同署名后,開發企業將帶有編號和經雙方署名的商品房買賣合同交給買受人收執。
(三)商品房預售的,開發企業在聯機打印商品房買賣合同后,即時通過交易系統完成商品房買賣合同備案,交易系統同時自動生成該商品房買賣合同登記備案信息。
第九條交易系統自動識別商品房買賣合同登記備案相關信息,對于有下列情形之一的,不予備案支持:
(一)所購房屋不在預(銷)售許可范圍內;
(二)所購房屋已被其他買受人聯機簽約或買賣合同已登記備案;

《商品房買賣合同》是辦理房產證不可或缺的資料,而在全國各地的房產糾紛中,有不少是因為合同約定不清晰所致。可以說除了房產證,《商品房買賣合同》簽約其實也是購房環節中至關重要的環節。
20xx年8月,東莞市正式啟動商品房買賣合同網上備案。然而在實際操作中,工作人員發現不少市民對網上合同備案的操作流程不夠重視,從而可能引起不必要的損失。
本篇報道將介紹啟動商品房買賣合同網上備案的優勢,網上簽約流程,以及市民在進行網上簽約時,應該注意的相關事項。
網上備案使信息透明化
“已經獲得預售證的房子才會將信息在公眾信息網上公布,才能進行網上簽約備案。”東莞市房產管理局相關負責人向記者介紹說,實現網上合同備案最大的優勢是使房產信息透明化,市民可以通過東莞市房產管理局公眾信息網,清晰地了解樓盤單位的各方面信息。
據介紹,在實現網上合同備案前,東莞的房地產交易中,合同主要是人工備案。由于發展商不會簽訂一份合同就立刻送往房管部門備案,因而合同備案時間往往滯后于合同的真正簽訂時間,購房者無法及時了解購買樓盤的相關情況。另一方面,如果發展商將已經抵押或被查封的樓幢進行出售,不知情的購房者也可能因不了解情況而購買到問題樓盤。
網上備案系統上線后,在商品房建檔時,包括樓盤總的套數,可銷售套數,銷售單位的戶型、面積、狀態,以及樓盤的查封、抵押情況均會及時公布。而交易雙方在對合同內容確認無誤、點擊保存后,房屋銷售狀態會立刻反饋到網上備案系統,自動將可售狀態修正為已售狀態,從而能有效杜絕發展商一房多賣的情況,保障了購房者的利益。
此外,市民在后期還可以方便地跟蹤了解自己所購單位的各項信息,包括該單位的確權情況等。在申請辦理房產證時,網上備案單位資料清晰,也會使辦證過程更便捷。
網上簽約注意保存密碼
啟動網上備案的目的是使信息透明化,保障購房者利益。然而,不少購房者對網上簽約備案系統不了解,對其操作流程不夠重視,在相關操作上也存在一些誤區。
“一些購房者在進行網上簽約時,自己的個人密碼讓發展商去設置,有些市民甚至是委托律師簽約。這些都是不注重保護自己權益的行為。”市房管局一名工作人員向記者介紹說,大部分購房者認為在審核過合同內容中的條款,雙方確認無誤、點擊保存后就不能再作修改。其實這是一種誤解。雙方在網上簽訂后,如果沒有手動點擊提交備案,8小時后已保存的簽訂合同會自動提交備案。而在這8小時內,即使在打印紙質合同后,如果當時沒有將網上已經簽訂的合同提交備案,而發展商有雙方密碼,可以再次進入系統修改條款。此外,在網上簽訂合同時設置的密碼,還將在后期用于辦理網上按揭等業務。
“購房者在設置密碼時,最好是要求他人回避,自己設置。”該名工作人員表示,在進行網上簽約時,密碼一定要妥善保存,在雙方對合同條款確認無誤、簽訂保存之后,一定要當場提交備案,并打印《商品房備案登記證明書》,經雙方確認后簽字保存。據介紹,在提交備案并打印《商品房備案登記證明書》之后,網上備案的合同條款將無法再進行更改。該名工作人員同時提醒購房者,如果在后期委托發展商或代理機構辦理網上按揭等業務,需告知受委托方購房密碼時,應出具書面委托書,以明晰密碼如果丟失時的責任,從而真正保障到自己的利益。
附:網上簽約流程詳解
一、交定金簽訂“認購書”,到簽正式《商品房買賣合同》之間,通常會有5天~7天的時間,在這段時間,購房者不妨登錄東莞市房產管理局公眾信息網(),查詢自己計劃購買單位的相關信息,如該單位是否可售,是否有限制銷售等情況。同時,在公眾信息網上,還可以查看合同模板。購房者可先了解合同上可能約定的相關內容。
二、確認單位產權清晰后,與發展商約定時間簽訂《商品房買賣合同》。一些發展商在進行網上簽訂合同前,會先將合同范本給購房者確認,如果購房者沒有疑議,再進行網上簽約。網上簽約頁面是在東莞市房產管理局公眾信息網的“透明售房”分欄下,使用證書進入備案系統,點擊交易單位,即會自動生成相應的合同模板。此時,購房者一定要仔細查看合同內容,一般合同內容應包括交易單位的基本信息、售價與付款方式、付款時間、發展商交樓時間、辦理房產證時間等,并應對違約責任有清晰的說明。
三、雙方確認合同條款無需修改,即進行保存合同。在這一步驟時,購房者設置購房密碼。合同簽訂保存后,可進行打印。

第九條 出賣人逾期交房的違約責任。
Article 9 Responsibility of delay in handover apartment
除本合同第八條規定的特殊情況外,出賣人如未按本合同規定的期限將該商品房交付買受人使用,按下列第 種方式處理:
Except for the special cases stipulated in article8, if the seller cannot handover the apartment to buyer in the stipulated schedule in this contract, the buyer should be treated in the following mode:
1.按逾期時間,分別處理(不作累加)
According to the overdue time, the seller should be treated separately (not be accumulated)
(1)逾期不超過 日,自本合同第八條規定的最后交付期限的第二天起至實際交付之日止,出賣人按日向買受人支付已交付房價款萬分之 的違約金,合同繼續履行;

第十條 規劃、設計變更的約定
Article 10 Agreement on the planning and designing variation
經規劃部門批準的規劃變更、設計單位同意的設計變更導致下列影響到買受人所購商品房質量或使用功能的,出賣人應當在有關部門批準同意之日起10日內,書面通知買受人:
The planning and designing variation agreed by government or designing organization, which affects the commodity residential quality and usage of buyer, the seller should send written notification to the buyer within 10 days after the approval upon the related authority:
(1)該商品房結構形式、戶型、空間尺寸、朝向;
The construction, layout, space dimension, orientation;
買受人有權在通知到達之日起15日內做出是否退房的書面答復。買受人在通知到達之日起15日內未作書面答復的,視同接受變更。出賣人未在規定時限內通知買受人的,買受人有權退房。
The buyer has the rights to reply in written words regarding whether to cancel the order within 15 days after receiving the notice. If the buyer didn‘t cancel the order within 15 days after receiving the notice, it will be regarded as acceptance to the variation. If the seller hasn’t noticed the buyer within stipulated time, the buyer has rights to cancel the order.
買受人退房的,出賣人須在買受人提出退房要求之日起 天內將買受人已付款退還給買還人,并按 利率付給利息。買受人不退房的,應當與出賣人另行簽訂補充協議。
If the buyer cancel the order, the seller must return the effected payment within _ days after the request is made, and also pay the interests according to %. If the buyer don‘t cancel the order, he or she should sign supplementary agreement with the seller.
第十一條 交接 Article 11 Handover
商品房達到交付使用條件后,出賣人應當書面通知買受人辦理交付手續。雙方進行驗收交接時,出賣人應當出示本合同第八條規定的證明文件,并簽署房屋交接單。所購商品房為住宅的,出賣人還需提供《住宅質量保證書》和《住宅使用說明書》。出賣人不出示證明文件或出示證明文件不齊全,買受人有權拒絕交接,由此產生的延期交房責任由出賣人承擔。
When the commodity residential meet the usage condition, the seller should send written notification to the buyer to make handover procedure. During the handover, the seller must issue the proof documents stipulated in article 8, and sign the residential handover sheet. For the residential which belongs to habitation, the seller also need to provide the [habitation quality guarantee] and [habitation usage instructions]. 第十二條 出賣人保證銷售的商品房沒有產權糾紛和債權債務糾紛。因出賣人原因,造成該商品房不能辦理產權登記或發生債權債務糾紛的,由出賣人承擔全部責任。

出賣人交付使用的商品房的裝飾、設備標準應符合雙方約定(附件三)的標準。達不到約定標準的,買受人有權要求出賣人按照下述第 種方式處理:

出賣人承諾與該商品房正常使用直接關聯的下列基礎設施、公共配套建筑按以下日期達到使用條件:

第十*五條 關于產權登記的約定。
Article 15 Agreements on the property rights registration
出賣人應當在商品房交付使用后 日內,將辦理權屬登記需由出賣人提供的資料報產權登記機關備案。如因出賣人的責任。買受人不能在規定期限內取得房地產權屬證書的,雙方同意按下列第 項處理:

If the buyer cannot get the registration proprietary certificate in time caused by the seller, both parties agree to treat in the following mode:
1.買受人退房,出賣人在買受人提出退房要求之日起 日內將買受人已付房價款退還給買受人,并按已付房價款的 ﹪賠償買受人損失。

第十六條 保修責任 Article 16 Repair guarantee responsibility
買受人購買的商品房為商品住宅的,《住宅質量保證書》作為本合同的附件。出賣人自商品住宅交付使用之日起,按照《住宅質量保證書》承諾的內容承擔相應的保修責任。

買受人購買的商品房為非商品住宅的,雙方應當以合同附件的形式詳細約定保修范圍、保修期限和保修責任等內容。

在商品房保修范圍和保修期限內發生質量問題,出賣人應當履行保修義務。因不可抗力或者非出賣人原因造成的損壞,出賣人不承擔責任,但可協助維修,維修費用由購買人承擔。
For the problems happened within the repair scope, deadline, the seller should perform the repair. For the majeure or damaged not caused by the seller, the seller will not stand the responsibility, but can assist for the repairing, the buyer shall bear the repair fee.
第十七條 雙方可以就下列事項約定: Article 17 Both parties can stipulates the following:

2.該商品房所在樓宇的外墻面使用權he usage of the residential external wall
3.該商品房所在樓宇的命名權 The naming right of the building of this residential

第十八條 買受人的房屋僅作 使用,買受人使用期間不得擅自改變該商品房的建筑主體結構、承重結構和用途。除本合同及其附件另有規定者外,買受人在使用期間有權與其他權利人共同享用與該商品房有關聯的公共部位和設施,并按占地和公共部位與公用房屋分攤面積承擔義務。
