4.2 經合同雙方當事人協商一致，本合同可以解除。

In the event that the Artist fails to respond prior to the expiration of the Term, the Artist shall be deemed to have refused to renew the Contract.

Article 4. Remuneration

Article 5. Working Hours and Working Days

5.1 The Artist’s working hours are specified as follows (normal working hours: 9:00 – 11: 30, 13:00 – 18: 00; lunch time: 11:30 – 13: 00.)

7.2 During the Contract, the Company will provide Commercial Accident Insurance not exceed 【】RMB. The Artist shall have a physical examination in Shenzhen before applying Commercial Accident Insurance. If the insurance can not be applied due to the Artist’s physical condition, the Company shall provide a hospital allowance not exceed 【】 RMB. Article 8. Confidentiality

8.1 The Artist acknowledges that in the course of hiring by the Company, the Artist will receive certain trade secrets, and confidential information belonging to the Company which Company desires to protect as confidential. For the purposes of this Contract, the term "confidential information" shall mean information of any nature and in any form which at the time is not generally known to the public. Artist agrees that such information is confidential and that he/she will not during or after the term of this Contract reveals such information to any?third party, either directly or indirectly.

Article 9. Intellectual Property Rights

9.1 The Artist agrees that during the term of the Contract, he will promptly disclose, in writing, all information, ideas, concepts, copies, sketches, art-work, electronic files and other materials related to the production process.
乙方在本合同履行過程中，應及時以書面形式向甲方披露，在制作過程中產生的相關信息、想法、概念、副本、草圖、藝術作品、電子文件以及其他材料。
9.2 Artist acknowledges that the results and proceeds are work made for hire under the Copyright Law of the People"s Republic of China.?At all stages of development, the results and proceeds shall be and remain the sole and exclusive property of the Company.? 乙方同意，依照中華人民共和國著作權法，其在履行本合同過程中創造的所有成果都屬于職務作品。在任何階段，該等成果的知識產權都排他性地歸屬于甲方。無論因任何原因導致乙方的成果不被認為是職務作品的，乙方在此同意向甲方免費轉讓該等成果在全球的知識產權、署名權及其他權益，包括并不限于著作權、更新的權利和衍生權。
9.3 The Artist shall assist the Company at all times in the protection of such work results and proceeds, including but not limited to, the execution of all lawful oaths and all assignment documents requested by the Company, in connection with the preparation, prosecution, issuance or enforcement of any applications.
乙方應因甲方對該等知識產權、成果保護的需求，出具包括并不限于宣誓及相關轉讓文件等予甲方，以供甲方對該等知識產權等內容采取相關措施（包括并不限于對知識產權申請的準備、實行或執行）。
Article 10. Credit for the Work
第十條 乙方可獲得的榮譽
Credit will be given to the Artist, provided that a substantial portion of the Artist"s work is used in the Company’s 【】. No inadvertent failure by the Company to comply with the credit list shall constitute a breach of this Contract.
如乙方完成工作的很大一部分被用在甲方最終的【】項目上，甲方將以適當方式為乙方署名。甲方的失誤不可被認作是對本合同的違反。
Article 11. Artist represents and warrants
第十一條 乙方承諾和保證
11.1 Artist represents and warrants to the Company that to the best of his/her knowledge, the information, ideas, concepts, copies, sketches, art-work, electronic files and other material produced do not infringe on any copyright or personal or proprietorial rights of others, and that he/she has the unencumbered right to enter into this Contract.
乙方向甲方承諾和保證，其所創作的信息、想法、概念、副本、草圖、藝術作品、電子文件以及其他材料不侵犯他人的著作權或所有權，并且其有權利簽署本合同。
11.2 Artist will indemnify the Company from any damage or loss, including attorney"s fees, rising out of any breach of this warranty.
因乙方的違約而給甲方造成損失的（包括并不限于律師費等），乙方承諾予以賠償。
11.3 Artist grants the Company the right to use the Artist"s name, photos and biographical data in connection with the distribution and advertising of the Company’s project.
乙方允許甲方使用其姓名，照片，簡歷用于甲方項目的推廣。
Article 12. Termination of the Contract by the Company
第十二條 甲方單方解除合同
12.1 the Company may dismiss the Artist at any time without further notice if the Artist:
乙方有下列情形之一的， 甲方可以不發出通知而隨時直接解雇乙方：
12.1.1 Is proven to be incompetent for the employing requirement during his/her period of probation; 在試用期內被證明不符合錄用條件的；
12.1.2 Seriously breach labor disciplines or regulations as stipulated by the Company;
嚴重違反勞動紀律或甲方依法制定的規章制度的；
12.1.3 Seriously neglects his duty and engages in malpractices for selfish ends, thus causing significant harm to the interests of the Company; or
嚴重失職、營私舞弊，對甲方利益造成重大損害的；
12.1.4 is found guilty according to the laws of People’s Republic of China.
被依法追究刑事責任的。
12.2 the Company may dismiss the Artist with 30 days prior written notice if:
乙方有下列情形之一的，甲方應提前30 天以書面形式通知乙方解除合同：
12.2.1 the Artist suffers from a disease or has sustained an injury that is not work related, and is unable to resume his/her original work upon the expiration of the medical treatment period, and continues to be incapable of achieving an adequate level of performance after transfer to a different position;
乙方患病或非因工負傷， 經治療不能復工或調整工作崗位后仍不能從事正常工作的；
12.2.2the Artist is incapable of performing the duties of his/her position and continues to be incapable of achieving an adequate level of performance after training or transfer to a different position.
乙方不能勝任本職工作，經培訓或調整工作崗位仍不勝任工作的。
Article 13. Termination of the Contract by the Artist
第十三條 乙方單方面解除合同
13.1 The Artist may at any time resign from employment with the Company with 30 days written notice. If the Artist does so resign, the Company shall have no obligation to pay any compensation to the Artist in respect of the termination of the Contract.
乙方可以在任何時間辭職， 但應提前30天以書面形式通知甲方。如果乙方主動辭職，甲方將對合同的解除不承擔任何賠償義務。
13.2 Notwithstanding the provision of Article 16.1, the Artist may resign with 3 days written notice:
盡管合同13.1 條有所規定， 但存在下列情形之一的， 乙方可以提前三天以書面形式通知甲方解除勞動合同：
13.2.1 during his period of probation;
在乙方試用期內；
13.2.2 if the Company fails to pay remuneration or provide working conditions in accordance with the terms of this Contract.
甲方沒有按照合同規定向乙方支付報酬或提供工作環境的。
Article 14. Governing law and dispute resolution
第十四條 適用法律和爭議解決
14.1 This Contract shall be governed by, and interpreted in accordance with, the laws and regulations of the People’s Republic of China.
本合同受中華人民共和國法律法規管轄，并根據該法進行解釋。
14.2 The parties shall first settle any dispute arising from the performance of this Contract through consultation.
合同雙方應當首先通過協商解決合同履行過程中的任何爭議。
14.3 If disputes cannot be reached through consultation, each party could apply for arbitration to a labor dispute arbitration committee with the jurisdiction over the place where the Company is located.
如果爭議無法通過協商解決，任何一方可向甲方所在地的有仲裁權限的勞動爭議仲裁委員會申請仲裁。
14.4 If any party is not satisfied with an arbitrate award, the party may, within 15 days from the date of receiving the arbitrate award, bring forth a lawsuit in a People’s Court where the Company is located.
如果任何一方不滿意仲裁裁決， 應于收到裁定之日起15 日內向甲方所在地的人民法院起訴。
Article 15. Others
15.1 This Contract is written in Chinese and English, both versions should be equally valid. If any inconsistency exists between the Chinese and English versions, the Chinese version shall govern.
本合同以中文和英文寫成，兩種文字具有同等效力。上述兩種文字如有不符，以中文版本為準。
15.2 Other items not stipulated by the Company and the Artist can be implemented according to the internal rules and regulations of the Company.
本合同未約定內容，可依照甲方內部規則和條款實施。
15.3 The Contract is in duplicate, each Party held one copy. The two copies are equally authentic. The Contract comes into effect upon signatures or seals of the Company and the Artist.
本合同一式貳份，雙方各執一份，每份皆具有同等法律效力。本合同經甲、乙雙方簽字蓋章后生效。
15.4 The Parties acknowledge that this Contract may be executed by facsimile or digitally scanned and emailed counterparts and confirm that execution of this Contract by such means shall be a valid and sufficient execution.
雙方了解本合同可通過傳真或電子掃描及郵件往來形式予以簽署，并同意以上述方式簽署本合同是有效并充分的。（選擇性條款）
