3、 必須配備滅火器（乙方自費，由甲方統一代購）并熟練
使用方法，滅火器必須放在規定部位，滅火器每年有償年檢。

條款者，將依據有關法規、規章予以處罰，情節嚴重者將取消其租賃資格。

6、 如因乙方責任引發火災事故，其后果由乙方全部承擔，

擔保書

本擔保書于2012年9月簽訂。

“擔保人”）。

(b)擔保人簽訂本擔保書的前提條件是債權人使借款人貸款額度生效。

現本擔保書在此擔保如下：

第1節．解釋

本擔保書中，除非上下文中另有規定：

(a) 貸款協議中規定條款和表述用于本保證書時等效；和/或

(b) “抵押債務”即全部總額（無論是本金，利息，費用或其他款項）隨時都可由借款

人依據貸款協議和全部其他在此抵押品進行支付。

第2節． 擔保

0.1 根據貸款協議規定，考慮到債權人同意借款人貸款額度，保證人作為主債務人不

僅為債權人做不可撤銷的，無條件的擔保，也連帶借款人一同擔保，無論在規定

期滿，提前，延后或其他時間，抵押債務應按時支付并付清。

2.2凡按本擔保書規定的應付款項，擔保人同意以債務原幣或各自貨幣支付，隨時根據

需要對債權人的發票連同債權人的簡明單據說明支付相同金額。借款人根據貸款

協議不予支付相同金額，如果發票最終的，確定的欠款金額有明顯錯誤。

0.2 本擔保書是連續性的擔保，自開立之日起生效，直至合同項下全部到期應付款項

償清后自動失效，（或理解為）不應由任何中途撤銷或償清抵押貸款賬戶及任何

債權人和借款人或其他人之間的賬目結算而免除債務。如果全部或部分到期應付

款項償清以后，發生破產被清盤，或因資不抵債，破產或重整必須另外重建賬戶

和返還債務，或出于借款人或保證人或任何其他人其他類似目的或相關作用環境，

在此期間應恢復保證人該支付義務，即使還沒有進行該支付。

第3節． 賠償

絲毫不受擔保書第二節影響，擔保人無條件的，不可撤回的同意第三節作為一個單獨的，附加的，持續的義務。作為主債權人，隨時按債務人需要，對全部損失，債務，損害，成本與費用進行賠償。依據貸款協議，賠償由借款人簽訂的按時償還抵押債務或者按時履行和遵守所有其他義務引起的任何未付款。本賠償應持續有效，盡管擔保書第二節規定對擔保人出于任何原因引起的失效或不可實施規定。

第4節．權利保留

0.1 擔保人責任不應由任何行為，遺漏，環境，事項或事件受到損害，影響或削弱，

除非該規定可以推進解除擔保人全部或部分義務，包括但不限于擔保人或債權人

是否知情。

(a) 隨時同意免除授予借款人或其他人的權利;

(b) 對借款人或其他任何人的變化，妥協，更新或解除，拒絕或忽視，完善或強制執

行任何權利，法律救濟或安全保障；

借款人相關任何法律上的限制，不利條件，無行為能力或其他類似情況，或借款

人或其他人的清算；和/或

任何抵押債務的異常情況，不可執行，失效或目的落空，擔保人的義務持續有效，

依據本協議對無類似異常情況，不可執行，失效或目的落空情況進行解釋。

此外，本協議規定擔保人的責任和義務應持續有效，無論借款人有任何清盤，解

散，重組或重整。

0.2 擔保人無條件的，不可撤回的放棄所有權利，如果首先要求債務人起訴或強制實

施任何其他權利或抵押金或在向擔保人要求索賠之前，向借款人索賠付款。 (c) (d)

第5節．成本，費用與開支

擔保人應隨時立即根據需要支付或償還債權人全部成本，費用及開支（包括基于全部賠償基礎的法律費和其他費用）關于本擔保書的準備和執行中，由債權人引起的賠償所受損失和在行使任何其權利或權力或起訴或追討任何款項產生的費用，或有關本擔保書另外保留或強制實行權利或產生任何索賠或免除本保證書抵押債務付款。

第6節． 稅費和其他扣除項目

0.3 依據本擔保書支付的所有款項，應是全額支付，無扣除，反訴，無任何限制或條

件，沒有義務或牽連的任何稅收或其他扣除額或任何性質的預扣。

0.4 如果在任何時間，任何法律或法規要求擔保人從任何債權人賬戶中做出任何扣減

或預扣（由于稅收或其他原因），擔保人應一并支付此類附加金額，以確保債權人收到（沒有義務或牽連的任何稅收或其他扣除額或預扣）全款，如無此類規定扣減或預扣，債權人應收到全款。擔保人應立即向債權人的正式收據副本或其他證明出示任何此類扣除額或預扣的全部金額，已支付相關稅收或其他權利機關。

第7節． 付款

7.1 擔保人根據本擔保書支付的所有款項應與債權人在相關到期日當天16:00點之前

（[首爾/香港]時間）簽訂，債權人出于該目的可能已經指定銀行賬戶提供資金（或通常用美元交易結算的其他性質資金）并以書面形式通知擔保人，擔保人根據每種實際情況以傳真形式通知債權人。

7.2 依據本協議規定，如果有任何到期應付的款項不按時支付，利息應計未付金額（基

于一年360天中實際經營天數）自到期日起，包括實際付款日（也在之前判決之后）每年利率最終由債權人決定，利率高達：（a）總額的(i)百分之二(2%)及(ii)就該筆款項按時到期日之前支付的利率（如有）；及(b)總額的(i)百分之二(2%)，(ii)保證金和(iii)libor(倫敦銀行同業拆息)計算由債權人認為合適的該期間相關的連續利息期，（以下簡稱每一個“指定利息期”）或，如果任何8.1節所描述的貸款協議應用的任何環境中，由債權人時常進行認證的利率將變成未提供資金成本總額利率。出于這些目的，libor應由債權人于第一天決定，或債權人認為合適的相關指定利息期第一天之前的兩個（2）銀行日。利息率或利率應隨時根據上述決定按天計，應基于一年360天實際經營天數進行計算，應在每個利息期結束時復利并應按需隨時支付。

第8節．聲明與保證

擔保人在此聲明并對債權人保證如下：

(a) 擔保人是依照中華人民共和國法律正式成立并有效存在的公司。

(b) 擔保人已取得全部合適和必要法人資格并能夠以其本身名義進行法律訴訟，授權

執行及交付本擔保和所有其他文件并授權履行和遵守本擔保條款。

(c) 擔保人已獲得或實施對本擔保有效執行，交付及履約的全部必要授權，根據具體

情況，貸款協議和該授權完全有效或自首次簽訂提款通知日始有效，在任何無違約相同條件下，已獲得該授權并完全有效。

(d) 本擔保構成合法，有效和具有約束力的義務，本擔保書在貸款協議生效時同時生

效。本擔保條款的執行，交付和履行或擔保人全部到期款項的交付與所付貨幣，在此將不會(i)違反或觸犯適用于擔保人的任何法律法規；(ii)違反保證人公司條款或公司章程（或類似組成文件）；(iii)違反或觸犯違規或強加任何產權負擔， 擔保人作為當事人的任何協議或文書規定，其物業或資產受約束；(iv)將不構成違約或依據任何此類協議或文書規定，隨著通知發出或時間推移或兩者兼而有之將構成違約事件。

(e) 擔保人在任何應用于其資產或收入的協議或義務規定下不發生違約，違約后果可

能對其業務或財務狀況或本擔保規定其行使義務責任造成重大的不利影響，無違

第9節．契約

保證人與債權人在此承諾如下：

(a) 在債權人合理要求之下，擔保人應向債權人提供每財政年度前六個月未審核財務報

表副本和每財政年度其經審核的可見綜合財政報表，在任何情況下，擔保人應盡快，但無論如何不遲于本擔保簽約日后擔保人的每個財政年度結束后的（90）天將擔保人在該年度未審核的年度財務報表副本交給債權人，不得超過本擔保簽約日后擔保人每個財政年度結束后的（120）天將擔保人在該年度經審核的年度財務報表副本交給債權人，有關擔保人財政狀況和經營的此類其他信息，債權人可隨時提出合理要求進行查看。每個財政報表應根據在韓國一貫應用的公眾會計原則編制妥當，附帶由擔保人主要財務處詳述的一份執行單據(i)自擔保人此財務報表生效起，擔保人完全遵守全部條款，包括但不限于所有財政契約和任何此后執行文件(ii)在此期間，無違約或預期違約事件發生或持續。

確。

關的條款或者根據具體情況，貸款協議包括但不限于任何適用法律法規規定的任何文件或定期報告。

第10節．債權轉讓

10.1 擔保人不應轉讓以下任何權利和義務。

10.2 依據貸款協議規定，債權人可隨時轉讓或授予從屬參股公司全部或任何部分權利，

利益和義務。本擔保書和保證人在此不可撤銷的同意受該轉讓約束。

第11節.適用法律和司法管轄權

11.5 本擔保受韓國法律管轄并按韓國法律進行解釋。

11.6 擔保人在此不可撤銷地同意與本擔保有關的任何法律行動或訴訟可在韓國首爾中

央地方法院進行，并不可撤銷地服從韓國首爾中央地方法院的管轄權。

　　In case of the indeed quality problem of the supplier products, the buyer and seller negotiate to deal with the unused products.
