12.檢驗與索賠：
inspection and claims:

②貨物到達目的的口岸后，買方可委托當地的商品檢驗機構對貨物進行復檢。如果發現貨物有損壞、殘缺或規格、數量與合同規定不符，買方須于貨到目的口岸的 天內憑 檢驗機構出具的檢驗證明書向賣方索賠。

14.爭議之解決方式：

13.裝運條款：
□ FOB
賣方應在合同規定的裝運日期前30天，以電報/電傳/傳真通知買方合同號、品名、數量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船/訂艙。裝運船只按期到達裝運港后，如賣方不能按時裝船，發生的空船費或滯期費由賣方負擔。在貨物超過船舷并脫離吊鉤以前一切費用和風險由賣方負擔。
The sellers shall , 30 days before the shipment date specified in the contract advise the buyers by CABLE / TELEX /FAX of the contract No. , commodity , quantity , amount , packages , gross weight , measurement , and the date of shipment in order that the buyers can charter a vessel / book shipping space . In the event of the sellers" failure to effect loading when the vessel arrives duly at the loading port , all expenses including dead freight and / or demurrage charges thus incurred shall be for seller"s account.

賣方須按時在裝運期限內將貨物由裝運港裝船到目的港。在CFR術語下，賣方應在裝船前2天電傳/傳真/電報買方合同號、品名、發票價值及開船日期，以便買方安排保險。

15.質量保證：
Quality guarantee :
貨物品質規格必須符合本合同及質量保證書之規定，品質保證期為貨到目的港_____個月內，在保證期限內，因制造廠商在設計制造過程中的缺陷造成的貨物損害應由賣方負責賠償。
The sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and Letter of Quality Guarantee .The guarantee period shall be months after the arrival of the goods at the port of destination , and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.
16.商品檢驗：賣方須在裝運前_____日委托 檢驗機構對合同之貨物進行檢驗并出具檢驗證書，貨到目的港后，由買方委托____檢驗機構進行復檢。

17.索賠
Claims:
如經中國_____檢驗機構復檢，發現貨物有損壞、殘缺或品名、規格、數量及質量與本合同及質量保證書之規定不符，買方可于貨到目的港后 天內憑上述檢驗機構出具的證明書向賣方要求索賠。如上述規定之索賠期與質量保證期不一致，在質量保證期限內買方仍可向賣方就質量保證條款之內容向賣方提出索賠。
The buyers shall lodge claims against the sellers based on the Inspection Certificate issued by China Inspection Authority Days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.
18.延期交貨違約金
Late delivery and penalty
除雙方認可的不可抗力因素外，賣方遲于合同規定的期限交貨，如買方同意遲延交貨，賣方應同意對信用證有關條款進行個性和同意銀行在議付貨款時扣除本條規定的違約金。違約金總值不超過貨物總價值的5%，差率按7天0.5%計算，不滿7天仍按7天計算。在未采用信用證支付的情況下，賣方應將前述方法計算的違約金即付買方。
If the sellers fail to make delivery on time as stipulated in the contract , with exception of Force Majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . The penalty , however , shall not exceed 5% of the total value of the goods . The rate of penalty is charged at 0.5%for every seven days , if less that seven days. In case , the payment is not made through L/C , the sellers shall pay the penalty counted as above to the buyers as soon as possible.
19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負責，但賣方應將上述發生的情況及

第2篇: 外貿合同范本

在履行協議過程中，如產生爭議，雙方應友好協商解決。若通過友好協商未能達成協議，則提交中國國際貿易促進委員會對外貿易仲裁委員會，根據該會仲裁程序暫行規定進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用，除另有規定外，由敗訴一方負擔。

由于水災、火災、地震、干旱、戰爭或協議一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發生的事件通知另一方，并在不可抗力事件發生15天內將有關機構出具的不可抗力事件的證明寄交對方。
雙方一致同意按下列條款簽訂本協議。
第1條 定義
產品：本協議中所稱產品，系指由甲方制造并以其商標銷售的和隨時經雙方以書面同意的其他商品。
地區：本協議中所稱地區，系指_________國_______________________。
商標：本協議中所稱商標系指_______________________。
第2條 委任及法律關系
委任：在本協議有效期內，甲方委任乙方作為其代理，以便在地區獲致產品的訂單。乙方愿意接受并承擔此項委托。
法律關系：本協議給予乙方的權利和權力只限于給于一般代理的權利和權力，本協議不產生其它任何關系，或給予乙方以代表甲方或使甲方受其它任何協議約束的任何權利，特別是，本協議并不構成或委派乙方為甲方的代表，雇員或合伙人。雙方明確和理解并同意，在任何情況下，乙方可能遭受的任何損失，不論部分或全部，甲方均不承擔責任。
指示：乙方應嚴格遵守甲方隨時發來的指示。由于乙方超越或違背甲方指示而造成的任何索賠、債務和責任，乙方應設法保護甲方利益并賠償甲方因此而遭受的損失。
第3條 甲方的責任
廣告資料：中方應按實際成本向乙方提供合理數量的產品樣品、樣本、價目表、廣告宣傳用的小冊子及其他有關產品推銷的輔助資料。
支付推銷：甲方應盡力支持乙方開展產品的推銷；甲方不主動向乙方代理地區的其他客戶發盤。
轉介客戶：除本協議另有規定外，如地區其他客戶直接向甲方詢價或訂購，甲方應將該客戶轉介乙方聯系。
價格：甲方提供乙方的產品價格資料，應盡可能保持穩定，如有變動應及時通知乙方，以利推銷。
優惠條款：甲方提供乙方獲致訂單的條款是最優惠的。今后如甲方向地區其他客戶銷售產品而提供比本協議更有利條件時，甲方應立即以書面通知乙方，并向乙方提供比此項更有利的條件。
保證：甲方擔保凡根據本協議出售的產品如經證實在出售時質量低劣，并經甲方認可，則甲方應予免費修復或調換。但此項免費修復或調換的保證，以產品在出售后未經變更或未經不正確地使用為限。除上述保證外，甲乙雙方均同意不提供任何其它保證。
第4條 乙方的責任
推銷：乙方應積極促進產品的推銷，獲取訂單，并保持一個有相當規模和足夠能力的推銷機構，以利產品在地區的業務順利開展和擴大。
禁止競爭：乙方除得到甲方書面同意外，不應制造、購買、獲取訂單、或協助推銷與本協議產品相同或類似的其他國家商品，或將本協議內產品轉銷其他國家和地區。
最低銷售額：在本協議有效期間的第一個十二個月內，乙方從地區客戶獲得的產品訂單，總金額應不少于______元。以后每十二個月遞增百分之十五。
費用：在本協議有效期內，乙方應承擔在地區推銷和獲取產品訂單的全部費用，如電報費、旅費和其他費用，本協議另有規定者除外。
產品價格與條件：乙方保證按照甲方在本協議有效期內隨時規定的價格和條件進行推銷。在獲取訂單時，乙方應充分告知客戶，甲方的銷售確認書或合同內的一些條款以及任何訂單均須經乙方確認接受后方為有效。乙方收到的產品訂單，應立即轉給甲方以便予以確認或拒絕。
督促履約：乙方應督促買戶嚴格按照銷售確認書或合同的各項條款履約，例如及時開立信用證等等。
市場情況報導：乙方應負責每月向甲方提供書面的有關產品的市場報導，包括市場上同類產品的銷售情況、價格、包裝、推銷方式、廣告資料、客戶的反應和意見等。如市場情況發生重大變化時，乙方應及時以電報通知甲方。
第5條 傭金
傭金率及支付方式：凡經乙方獲得并經甲方確認的訂單，甲方在收妥每筆交易全部貨款后，將按發票凈售價付給乙方百分之 _________傭金。為了結算方便，傭金每月匯付一次。如有退貨，乙方應將有關傭金退還甲方。
計算基礎：上述發票凈售價系指甲方開出的產品發票上的總金額減去下列費用后的金額，但以這些費用業經包括在毛售價之內者為限：

乙方傭金：
甲方直接成交的業務：凡乙方地區的客戶，雖已了解甲乙雙方的貿易關系，或經甲方轉介與乙方，但仍堅持與甲方直接交易，則甲方有權與之成交，保留百分之_________傭金與乙方，并將此項交易作為本協議第款最低銷售額的一部分。
如乙方地區的客戶在中國訪問期間與甲方達成產品的交易，目的港為乙方代理地區者，甲方有權接受其訂單，但不為乙方保留傭金，亦不計入上述最低銷售額。
超額傭金：如乙方在本協議有效期內積極推銷產品并超額完成年度最低銷售額，甲方對超額部分除支付規定的傭金外，應另付乙方獎勵傭金：
超額百分之五十時，獎勵傭金為百分之_________；
超額百分之一百及以上時，獎勵傭金為百分之_________。獎勵傭金在年度終了由甲方結算后一次匯付乙方。
第6條 協議有效期
本協議有效期為______年，期滿自動失效。如雙方同意延續本協議，任何一方應在期滿______天前用書面通知對方以便相互確認
第7條 協議的終止
終止：協議雙方應認真負責地執行各項條款。在下列條件下，每一方得以書面通知另一方立即終止本協議或取消其中某一部分：
如一方未能履行本協議的任何一項義務，而此項違約在接到另一方書面要求糾正的通知后______天內又未能加以糾正；或
如一方自動或被迫申請宣告破產，自動或被迫申請改組、清理、解散、或對該方指定了產業管理人；或
如發生違反本協議第8條有關商標使用或注冊的情況；或
如發生本協議第9條不可抗力事由，一方在超過_________天期限后仍無法履行其義務時。
終止的影響：本協議的終止并不解除雙方按照本協議規定業已產生但未了結的任何債務。凡在協議終止前由于一方違約致使另一方遭受的損失，另一方仍有權提出索賠，不應受終止本協議的影響。 乙方特此聲明：由于終止本協議而引起的損害，乙方放棄要求補償或索賠，但終止本協議前甲方應付乙方的應得傭金仍應照付。
第8條 商標
甲方目前擁有和使用的商標、圖案、及其他標記，均屬甲方產權，未經甲方特別以書面同意，乙方均不得直接或間接地、全部或部分地使用或注冊。即使甲方特別以書面同意乙方按某種方式使用，但在本協議期滿或終止時，此種使用應隨即停止并取消。
關于上述權利，如發生任何爭議或索賠，甲方有權立即單方面取消本協議并且不承擔由此而產生的任何責任。
第9條 不可抗力
任何一方由于人力不可抗拒事由，以致直接或間接地造成任何遲延或無法履行本協議全部或部分條款時，另一方不得提出索賠要求。此類事由包括：水災、火災、風災、地震、海嘯、雷擊、疫病、戰爭、封鎖、禁運、扣押、戰爭威脅、制裁、騷動、電力控制、禁止進口或出口、或其它非當事人所能控制的類似原因、或雙方同意的其它特殊原因。
有關一方應在事故發生后_________天內以書面通知另一方，并提供當地有關機構的證明文件，證明不可抗力事故的存在。
第10條 仲裁
凡有關協議或執行本協議而發生的一切爭執，雙方應通過友好協商解決。如協商不能解決，雙方同意提交中國國際經濟貿易仲裁委員會按該會的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方都有約束力。任何一方不得再以訴訟或其他方式向法院或其它機構申請變更。仲裁費用由敗訴一方負擔，仲裁裁決另有規定者按照規定辦理。
第11條 轉讓
要協議任何一方在未經征得另一方書面同意之前，不得將本協議規定的任何權利和義務轉讓給第三者。任何轉讓，未經另一方書面明確同意，均屬無效。
第12條 協議生效及其他
生效日期：本協議自雙方簽字之日起立即生效。
未盡事宜：本協議如有未盡事宜須加補充或修改時，應以書面提出并經雙方正式授權的代表簽署后方能生效。
標題：本協議各項條款的標題僅為方便而設，不應限制或影響協議中任何條款的實質。
全部協議：本協議系雙方關于本協議主題的全部協議和諒解。除本協議有明文規定者外，以前其它有關本協議主題的任何條件，聲明或保證，不論是以書面或口頭提出的，對雙方都無約束力。
正式文本：本協議及附件以中文和英文繕就，每種文本有二正二副，簽署后雙方各執正副本各一份，兩種文本具有同等效力。
政府貿易：本協議不適用于雙方政府之間的貿易或甲方與乙方政府之間達成的交易，亦不適用于易貨貿易或投標交易。
